TERMS OF SERVICE

OVERVIEW

These Terms of Service (“Terms”) govern access to and use of the Farmer Direct Supply website, content, communications, quotes, products, tools, and related services, collectively referred to as the “Services.”

The Services are operated by Zeto International LLC, doing business as Farmer Direct Supply (“Farmer Direct Supply,” “we,” “us,” or “our”).

Our online store is powered by Shopify.

By visiting, accessing, using, requesting a quote from, communicating through, or purchasing through the Services, you agree to these Terms and the policies incorporated into them.

If you do not agree, do not use the Services.

1. ELIGIBILITY, ACCOUNTS, AND AUTHORITY

You must be at least the age of majority in your jurisdiction and legally capable of entering a binding agreement.

If you act on behalf of a company, farm, ranch, government entity, nonprofit, institution, or other organization, you represent that you have authority to bind that organization.

• Manuals
• Lead times
• Availability information

Manufacturers may change specifications, colors, packaging, design, components, accessories, or instructions without notice.

Images displayed on a screen may not precisely represent the appearance, scale, color, or configuration of a product.

Manufacturer part numbers, approved drawings, written specifications, and final order confirmations control over general marketing copy.

Contact Farmer Direct Supply before purchasing when a specification, measurement, accessory, delivery requirement, or compatibility issue is material to your decision.

3. PRODUCT SUITABILITY AND CUSTOMER RESPONSIBILITY

The customer is responsible for determining that a product is appropriate for the intended application and compliant with applicable law.

This may include confirming:

• Tractor or machine make and model
• Horsepower
• Hydraulic flow and pressure
• Hitch type
• Coupler type
• Weight and lifting capacity
• Dimensions
• Electrical supply
• Foundation requirements
• Anchoring requirements
• Wind and snow loads
• Climate and terrain
• Utility locations
• Road and site access
• Permits
• Zoning
• Engineering
• Inspection requirements
• Unloading requirements
• Installation requirements
• Guards and safety devices
• Operator training
• Maintenance requirements

Information provided by Farmer Direct Supply is general product assistance.

It is not engineering, architectural, agronomic, veterinary, electrical, building-code, safety, legal, or other professional advice.

Use properly qualified professionals where appropriate.

4. QUOTES

A quote is an invitation to place an order and is valid only for:

• The stated period
• The stated product configuration
• The stated quantity
• The stated delivery location
• The stated freight assumptions
• The stated payment terms

Pricing, freight, tax, and availability may change if the applicable facts change.

5. ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase.

Farmer Direct Supply may accept, reject, hold, or cancel an order for reasons including:

• Product availability
• Supplier approval
• Payment verification
• Pricing error
• Product-configuration issues
• Shipping restrictions
• Unsafe delivery conditions
• Suspected fraud
• Sanctions concerns
• Inability to fulfill the requested order

An automated confirmation acknowledges receipt and does not necessarily constitute acceptance.

Order acceptance may occur when Farmer Direct Supply:

• Expressly confirms acceptance
• Releases the order to a manufacturer or distributor
• Begins custom work
• Allocates inventory
• Books freight
• Ships the product

Review all order details carefully before submission.

Cancellation and modification rights are governed by our Return, Refund & Cancellation Policy and any product-specific terms.

Changes after supplier release may be impossible or may result in additional charges.

6. PRICES, PAYMENT, AND TAXES

Prices, promotions, discounts, freight estimates, and availability may change before an order is accepted.

Unless stated otherwise:

• Prices are in U.S. dollars
• Prices exclude sales tax
• Prices exclude charges not expressly included
• Freight terms apply only to the stated delivery location and conditions

You authorize Farmer Direct Supply and our payment providers to charge the selected payment method for the order and authorized adjustments.

You represent that:

• Payment information is accurate
• You are authorized to use the payment method
• You will pay all valid charges

Farmer Direct Supply collects sales or use tax where required.

Customers claiming a tax exemption must provide complete and valid documentation before the transaction is finalized.

The customer remains responsible for any applicable tax, duty, assessment, or government charge not collected by Farmer Direct Supply.

Additional terms may appear in our Payment Policy, quote, invoice, or order confirmation.

7. SHIPPING AND DELIVERY

Shipping is governed by our Shipping & Delivery Policy and applicable product-specific terms.

Delivery dates are estimates unless expressly guaranteed in writing.

Farmer Direct Supply is not responsible for delays outside our reasonable control, but we will provide notices, refund options, or cancellation options required by applicable law.

The customer is responsible for:

• Providing an accurate delivery address
• Providing a working phone number
• Responding to delivery scheduling
• Providing safe site access
• Arranging required unloading equipment
• Inspecting shipments
• Documenting damage
• Reporting shortages promptly

Title and risk of loss pass as provided by applicable law and the applicable shipping terms.

Nothing in these Terms transfers responsibility for loss caused by a nonwaivable legal obligation of Farmer Direct Supply.

8. INSTALLATION, PERMITS, AND OPERATION

Unless Farmer Direct Supply separately agrees in a signed writing, we do not provide installation.

The customer is responsible for:

• Installation
• Assembly
• Erection
• Foundations
• Anchoring
• Electrical work
• Plumbing
• Site preparation
• Utility location
• Permits
• Inspections
• Engineering
• Commissioning
• Operator training
• Maintenance

Products must be installed, used, maintained, and stored according to:

• Manufacturer instructions
• Product ratings
• Safety warnings
• Applicable codes
• Applicable laws
• Industry safety standards

Do not exceed rated capacities or bypass guards, locks, warning systems, or safety devices.

9. RETURNS, REFUNDS, CANCELLATIONS, DAMAGE, AND WARRANTY

Returns, refunds, cancellations, exchanges, freight damage, incorrect shipments, shortages, and missing items are governed by:

• Our Return, Refund & Cancellation Policy
• Our Shipping & Delivery Policy
• Product-specific written terms

Warranty claims are governed by:

• Our Manufacturer Warranty Policy
• The applicable manufacturer’s written warranty

The manufacturer normally makes the final decision regarding manufacturer warranty coverage and remedies.

10. COMMERCIAL PURCHASES, RESALE, AND EXPORT

Products may be purchased for legitimate:

• Personal use
• Agricultural use
• Commercial use
• Institutional use
• Government use

Unless Farmer Direct Supply authorizes otherwise in writing, products may not be purchased for:

• Unauthorized resale
• Unauthorized export
• Sanctions evasion
• Transshipment intended to bypass restrictions
• Illegal activity
• A use prohibited by law
• A use prohibited by a manufacturer agreement

A customer purchase order or procurement document does not modify these Terms unless Farmer Direct Supply expressly accepts the modification in a signed writing.

Fulfilling an order does not constitute acceptance of conflicting buyer terms.

11. INTELLECTUAL PROPERTY

The Services, including their:

• Text
• Designs
• Logos
• Graphics
• Photographs
• Videos
• Software
• Layout
• Organization
• Content

are owned by Farmer Direct Supply, our licensors, manufacturers, Shopify, or other rights holders and are protected by intellectual-property laws.

Product names, manufacturer names, and trademarks belong to their respective owners.

You may use the Services for lawful purchasing and internal evaluation.

Without permission, you may not:

• Reproduce the Services
• Scrape the Services
• Republish content
• Modify content
• Distribute content
• Sell content
• Commercially exploit content
• Create derivative works
• Remove proprietary notices
• Use trademarks in a misleading manner

12. THIRD-PARTY SERVICES AND LINKS

The Services may use or link to third parties such as:

• Shopify
• Payment providers
• Financing providers
• Manufacturers
• Distributors
• Carriers
• Maps
• Social networks
• Review platforms

Farmer Direct Supply does not control these services and is not responsible for their separate:

• Availability

• Terms

• Representations
• Products or services

Use third-party services at your own discretion and review their applicable terms.

13. RELATIONSHIP WITH SHOPIFY

Shopify provides the ecommerce platform used by Farmer Direct Supply.

Purchases from our store are made from Farmer Direct Supply, not Shopify.

Shopify is not the seller and is not responsible for product selection, fulfillment, delivery, unloading, installation, warranty, injury, damage, or loss relating to a purchase from Farmer Direct Supply, except where Shopify separately agrees or applicable law provides otherwise.

14. PRIVACY

Our collection, use, disclosure, and retention of personal information is governed by our Privacy Policy.

Shopify and other providers may independently process information under their own privacy notices.

15. REVIEWS, FEEDBACK, AND CUSTOMER CONTENT

When you submit a review, photograph, video, suggestion, testimonial, or other content, you represent that:

• You own the content or have permission to provide it
• The content is accurate
• The content is lawful
• The content does not infringe another person’s rights

You grant Farmer Direct Supply a worldwide, nonexclusive, royalty-free, transferable, and sublicensable license to use, reproduce, adapt, publish, display, and distribute that content for operating, improving, and promoting the Services, subject to applicable privacy law.

We may remove content that is:

• Unlawful
• Misleading
• Fraudulent
• Infringing
• Abusive
• Obscene
• Threatening
• Unrelated
• Otherwise inappropriate

We are not obligated to keep submissions confidential, provide compensation, or respond.

16. ERRORS, INACCURACIES, AND AVAILABILITY

The Services may contain errors involving:

Farmer Direct Supply may correct errors, update information, or cancel an affected order.

If we cancel a paid order, we will refund the affected payment amount.

Obligations that by their nature should survive termination will continue after termination.

19. DISCLAIMER OF WARRANTIES

Except for an express written warranty provided by Farmer Direct Supply or the applicable manufacturer, and to the fullest extent permitted by law, the Services and products are provided “as is” and “as available.”

To the extent permitted by law, Farmer Direct Supply disclaims implied warranties of:

• Merchantability
• Fitness for a particular purpose
• Title
• Noninfringement
• Warranties arising from course of dealing
• Warranties arising from usage of trade

We do not warrant:

• Uninterrupted website operation
• Error-free website operation
• That general product information will satisfy a particular project
• Particular crop results
• Particular livestock results
• Weather resistance beyond written specifications
• Productivity
• Profitability
• Regulatory approval
• Permit approval
• Compatibility that was not expressly confirmed in writing

Some jurisdictions do not allow certain disclaimers. This section applies only to the extent permitted by law.

Nothing in these Terms disclaims a manufacturer warranty or statutory right that cannot lawfully be waived.

20. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Farmer Direct Supply and its owners, officers, employees, contractors, affiliates, licensors, service providers, suppliers, and agents will not be liable for:

• Indirect damages

• Special damages
• Exemplary damages
• Punitive damages
• Consequential damages
• Lost profits
• Lost revenue
• Crop loss
• Livestock loss
• Loss of use
• Downtime
• Substitute-equipment costs
• Data loss
• Business interruption

This limitation applies even when advised that such damages may occur.

To the fullest extent permitted by law, our total liability arising from a product or transaction will not exceed the amount paid to Farmer Direct Supply for the product or service giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited, including responsibility arising from fraud, willful misconduct, or another nonwaivable legal obligation.

21. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Farmer Direct Supply and its owners, officers, employees, affiliates, contractors, and service providers from third-party claims, losses, liabilities, and reasonable legal fees arising from:

• Your unlawful use of the Services
• Your violation of these Terms
• Unauthorized modification of a product
• Product misuse
• Your infringement of another person’s rights
• Failure to comply with applicable installation requirements
• Failure to comply with safety requirements
• Failure to comply with export restrictions
• False information provided by you

22. FORCE MAJEURE

Farmer Direct Supply is not liable for a delay or failure caused by events outside our reasonable control, including:

• Severe weather
• Natural disaster
• Fire
• Flood
• Epidemic
• War
• Terrorism
• Civil unrest
• Labor dispute
• Government action
• Embargo
• Sanctions
• Supplier failure
• Material shortage
• Transportation interruption
• Cyberattack
• Utility outage
• Carrier disruption

This section does not remove a refund, delay-notice, or cancellation obligation required by applicable law.

23. SEVERABILITY, WAIVER, AND ENTIRE AGREEMENT

If a provision of these Terms is found unenforceable, it will be enforced to the maximum lawful extent or severed without affecting the remaining provisions.

Failure to enforce a provision is not a waiver of that provision.

These Terms and incorporated policies form the complete agreement concerning the Services and supersede prior communications about the same subject, except for a signed written agreement.

24. ASSIGNMENT

You may not assign these Terms without our written consent.

Farmer Direct Supply may assign these Terms in connection with:

• Reorganization
• Financing
• Merger
• Acquisition
• Sale of assets
• Transfer of the Services

Any assignment remains subject to applicable law.

25. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Subject to any nonwaivable right to bring a claim elsewhere, the parties consent to the state and federal courts with jurisdiction over our principal place of business in Texas for disputes arising from the Services or a purchase.

26. CHANGES TO THESE TERMS

Farmer Direct Supply may update these Terms by posting a revised version and changing the effective date.

Material changes will receive any notice required by applicable law.

Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
