OVERVIEW

These Terms of Service govern access to and use of the Pool Direct Supply website, communications, quotes, products, tools, and related services, collectively called the Services.

The Services are operated by Zeto International LLC, operating as Pool Direct Supply.

Our online store is powered by Shopify.

By accessing, using, requesting a quote from, communicating through, or purchasing through the Services, you agree to these Terms and the policies incorporated into them.

If you do not agree, do not use the Services.

ELIGIBILITY, ACCOUNTS, AND AUTHORITY

You must be at least the age of majority in your jurisdiction and legally capable of entering a binding agreement.

If you act for a company, government entity, nonprofit, institution, property owner, contractor, pool professional, or another organization, you represent that you have authority to bind that organization.

You agree to provide accurate, current, and complete information.

You are responsible for maintaining account security, protecting account credentials, activity performed through your account, and promptly correcting inaccurate information.

PRODUCTS, INFORMATION, AND SPECIFICATIONS

We attempt to provide accurate product descriptions, images, dimensions, capacities, compatibility information, manuals, lead times, and availability information.

Manufacturers may change specifications, colors, packaging, design, components, accessories, software, or instructions without notice.

Images displayed on a screen may not precisely represent a product appearance, scale, color, or configuration.

Manufacturer part numbers, approved drawings, written specifications, and final order confirmations control over general marketing copy.

Contact Pool Direct Supply before purchasing when a specification, measurement, accessory, delivery requirement, or compatibility issue is material to your decision.

PRODUCT SUITABILITY AND CUSTOMER RESPONSIBILITY

The customer is responsible for determining that a product is suitable for the intended pool, spa, property, system, and application and complies with applicable law.

Relevant factors may include:

Pool or spa type
In ground or above ground construction
Pool volume and dimensions
Existing equipment make, model, and serial number
Plumbing diameter, configuration, and flow rate
Pump capacity and total dynamic head
Filter type and capacity
Electrical voltage, phase, amperage, circuit, grounding, and bonding
Gas type, gas supply, pressure, venting, and clearances
Heater or heat pump sizing
Salt system, sanitizer, and water chemistry compatibility
Automation, controller, sensor, lighting, and communication compatibility
Cover dimensions, anchor locations, deck material, and obstructions
Climate, elevation, freeze conditions, and local environmental requirements
Equipment pad size, drainage, ventilation, and service clearances
Utility locations
Permits, codes, inspections, and professional installation requirements
Delivery access and unloading requirements
Manufacturer installation, operation, and maintenance requirements

Information provided by Pool Direct Supply is general product assistance. It is not engineering, electrical, plumbing, gas fitting, building code, safety, legal, or other professional advice.

Use properly licensed and qualified professionals where required.

QUOTES

A quote is an invitation to place an order and is valid only for the stated period, product configuration, quantity, delivery location, shipping assumptions, and payment terms.

Pricing, shipping, tax, and availability may change if the applicable facts change.

ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase.

Pool Direct Supply may accept, reject, hold, or cancel an order because of product availability, supplier approval, payment verification, pricing error, configuration issues, shipping restrictions, unsafe delivery conditions, suspected fraud, sanctions concerns, or inability to fulfill the order.

An automated confirmation acknowledges receipt and does not necessarily constitute acceptance.

Acceptance may occur when Pool Direct Supply expressly confirms acceptance, releases the order to a manufacturer or distributor, begins custom work, allocates inventory, books freight, or ships the product.

Review every order detail before submission.

Cancellation and modification rights are governed by our Return, Refund and Cancellation Policy and any product specific terms disclosed before purchase.

PRICES, PAYMENTS, AND TAXES

Prices, promotions, discounts, shipping estimates, and availability may change before an order is accepted.

Unless stated otherwise, prices are in United States dollars and exclude sales tax and charges not expressly included.

You authorize Pool Direct Supply and our payment providers to charge the selected payment method for the order and authorized adjustments.

You represent that payment information is accurate and that you are authorized to use the payment method.

Pool Direct Supply collects sales or use tax where required.

Customers claiming a tax exemption must provide complete and valid documentation before the transaction is finalized.

The customer remains responsible for a tax, duty, assessment, or government charge not collected by Pool Direct Supply where applicable law places that responsibility on the customer.

SHIPPING AND DELIVERY

Shipping and delivery are governed by our Shipping Policy and applicable product specific terms.

Delivery dates are estimates unless Pool Direct Supply expressly guarantees a date in writing.

Pool Direct Supply will provide notices, consent requests, cancellation options, and refunds required by applicable law when an order cannot ship within the promised time.

The customer is responsible for providing an accurate delivery address and working telephone number, responding to delivery scheduling, preparing safe access, arranging any required unloading equipment, inspecting shipments, documenting damage, and reporting shortages promptly.

INSTALLATION, CODES, AND SAFE OPERATION

Unless Pool Direct Supply separately agrees in a signed writing, we do not provide installation.

The customer is responsible for installation, assembly, plumbing, electrical work, gas work, foundations or equipment pads, drainage, bonding, grounding, ventilation, permits, inspections, commissioning, maintenance, winterization, and operator training.

Products must be installed, operated, maintained, and stored according to manufacturer instructions, product ratings, safety warnings, applicable codes, applicable laws, and accepted industry safety practices.

Electrical, gas, fuel, plumbing, structural, and bonding work must be completed by properly licensed and qualified professionals where required.

Do not bypass safety devices, flow switches, pressure controls, guards, grounding, bonding, ventilation, drain covers, alarms, barriers, or manufacturer required protections.

RETURNS, REFUNDS, CANCELLATIONS, DAMAGE, AND WARRANTY

Returns, refunds, cancellations, exchanges, shipping damage, incorrect shipments, shortages, and missing items are governed by our Return, Refund and Cancellation Policy, our Shipping Policy, and any product specific terms disclosed before purchase.

Warranty claims are governed by the applicable manufacturer written warranty and any separate written warranty expressly provided by Pool Direct Supply.

A manufacturer normally determines coverage and remedies under its warranty.

Nothing in these Terms limits a statutory right or remedy that cannot lawfully be waived.

COMMERCIAL PURCHASES, RESALE, AND EXPORT

Products may be purchased for legitimate personal, residential, commercial, institutional, contractor, or government use.

Unless Pool Direct Supply authorizes otherwise in writing, products may not be purchased for unauthorized resale, unauthorized export, sanctions evasion, illegal activity, a prohibited use, or a use contrary to a manufacturer agreement.

A customer purchase order or procurement document does not modify these Terms unless Pool Direct Supply expressly accepts the change in a signed writing.

INTELLECTUAL PROPERTY

The Services, including text, designs, logos, graphics, photographs, videos, software, layout, organization, and original content, are owned by Pool Direct Supply, our licensors, manufacturers, Shopify, or other rights holders and are protected by intellectual property laws.

Product names, manufacturer names, and trademarks belong to their respective owners.

You may use the Services for lawful purchasing and internal evaluation.

Without permission, you may not reproduce, scrape, republish, modify, distribute, sell, commercially exploit, or create derivative works from protected content, remove proprietary notices, or use trademarks misleadingly.

THIRD PARTY SERVICES AND LINKS

The Services may use or link to Shopify, payment providers, financing providers, manufacturers, distributors, carriers, maps, social networks, review platforms, and other third parties.

Pool Direct Supply does not control these services and is not responsible for their separate content, availability, security, terms, privacy practices, representations, products, or services.

RELATIONSHIP WITH SHOPIFY

Shopify provides the ecommerce platform used by Pool Direct Supply.

Purchases from our store are made from Pool Direct Supply, not Shopify.

Shopify is not the seller and is not responsible for product selection, fulfillment, delivery, installation, warranty, injury, damage, or loss relating to a purchase from Pool Direct Supply, except where Shopify separately agrees or applicable law provides otherwise.

PRIVACY

Our collection, use, disclosure, and retention of personal information are governed by our Privacy Policy.

Shopify and other providers may independently process information under their own privacy notices.

REVIEWS, FEEDBACK, AND CUSTOMER CONTENT

When you submit a review, photograph, video, suggestion, testimonial, or other content, you represent that you own it or have permission to provide it, that it is accurate and lawful, and that it does not infringe another person's rights.

You grant Pool Direct Supply a worldwide, nonexclusive, royalty free, transferable, and sublicensable license to use, reproduce, adapt, publish, display, and distribute that content for operating, improving, and promoting the Services, subject to applicable privacy law.

We may remove content that is unlawful, misleading, fraudulent, infringing, abusive, obscene, threatening, unrelated, or otherwise inappropriate.

ERRORS, INACCURACIES, AND AVAILABILITY

The Services may contain errors involving prices, specifications, compatibility, availability, promotions, shipping, lead times, product descriptions, or calculations.

Pool Direct Supply may correct errors, update information, reject an order, or cancel an affected order.

If Pool Direct Supply cancels a paid order, the affected payment amount will be refunded.

PROHIBITED USES

You may not use the Services to violate law, infringe rights, transmit malware, interfere with security, collect personal information without authorization, impersonate another person, submit false information, harass or threaten another person, commit fraud, evade sanctions, send spam, bypass technical restrictions, or interfere with normal operation.

SUSPENSION AND TERMINATION

Pool Direct Supply may suspend access, cancel an account, cancel an order, or refuse service when reasonably necessary to protect the Services, customers, employees, suppliers, payment providers, or our legal rights.

Reasons may include suspected fraud, abuse, threats, nonpayment, security concerns, violation of these Terms, or unlawful activity.

Obligations that should survive termination will continue after termination.

DISCLAIMER OF WARRANTIES

Except for an express written warranty provided by Pool Direct Supply or the applicable manufacturer, and to the fullest extent permitted by law, the Services and products are provided as is and as available.

To the extent permitted by law, Pool Direct Supply disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and warranties arising from a course of dealing or usage of trade.

We do not warrant uninterrupted or error free website operation, that general product information will satisfy a particular project, compatibility not expressly confirmed in writing, installation results, energy savings, water quality results, heating performance outside written product ratings, regulatory approval, or permit approval.

Some jurisdictions do not allow certain exclusions. This section applies only to the extent permitted by law.

Nothing in these Terms disclaims a manufacturer warranty or statutory right that cannot lawfully be waived.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Pool Direct Supply and its owners, officers, employees, contractors, affiliates, licensors, service providers, suppliers, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost revenue, loss of use, pool or spa closure, downtime, substitute equipment costs, data loss, or business interruption.

To the fullest extent permitted by law, total liability arising from a product or transaction will not exceed the amount paid to Pool Direct Supply for the product or service giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or another nonwaivable legal obligation.

INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pool Direct Supply and its owners, officers, employees, affiliates, contractors, and service providers from third party claims, losses, liabilities, and reasonable legal fees arising from unlawful use of the Services, violation of these Terms, unauthorized product modification, product misuse, infringement of another person's rights, failure to comply with installation or safety requirements, export violations, or false information provided by you.

EVENTS OUTSIDE REASONABLE CONTROL

Pool Direct Supply is not liable for delay or failure caused by events outside our reasonable control, including severe weather, natural disaster, fire, flood, epidemic, war, civil unrest, labor dispute, government action, embargo, sanctions, supplier failure, material shortage, transportation interruption, cyberattack, utility outage, or carrier disruption.

This section does not remove a refund, delay notice, or cancellation obligation required by applicable law.

SEVERABILITY, WAIVER, AND ENTIRE AGREEMENT

If a provision is unenforceable, it will be enforced to the maximum lawful extent or severed without affecting the remaining provisions.

Failure to enforce a provision is not a waiver.

These Terms and incorporated policies form the complete agreement concerning the Services, except for a signed written agreement or product specific written term accepted by Pool Direct Supply.

ASSIGNMENT

You may not assign these Terms without our written consent.

Pool Direct Supply may assign these Terms in connection with financing, reorganization, merger, acquisition, sale of assets, or transfer of the Services, subject to applicable law.

GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Subject to any nonwaivable right to bring a claim elsewhere, the parties consent to the state and federal courts with jurisdiction over our principal place of business in Texas for disputes arising from the Services or a purchase.

CHANGES TO THESE TERMS

Pool Direct Supply may update these Terms by posting a revised version and changing the effective date.

Material changes will receive any notice required by applicable law.

Continued use of the Services after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.
